Enhance your drafting skills and increase your understanding of subcontracts.

Waiting until things go wrong before taking a careful look at subcontract terms is all too often what we see in practice. Too bad. No subcontract, no matter how painstakingly put together, can avoid or even anticipate any and all potential problems. There are no magic formulas, but paying attention at the outset is well worth the effort -- to shape or reshape the terms if possible, or at least to understand what you're getting into or even to know when to walk away.

This topic will review some of the essential features of subcontracts in the hope of sharpening drafting skills and enhancing abilities to understand and explain drafts produced by others.

Learning Objectives

  • You will be able to identify the essential elements that belong in subcontracts.
  • You will be able to describe various ways those elements can be formulated and the implications.
  • You will be able to recognize problem areas to be negotiated.
  • You will be able to review scope of work problems and how to avoid them.
